By accessing or using the Gradient AI website and platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Gradient AI provides an AI fluency assessment platform that enables organizations to evaluate candidates' ability to collaborate with AI tools on real work tasks. The Service includes assessment creation, candidate evaluation environments, automated scoring, and result reporting.

3. User Accounts

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Share assessment content, questions, or scoring criteria with unauthorized parties
• Impersonate another person or misrepresent your affiliation
• Use the Service to discriminate against candidates on the basis of protected characteristics

5. Assessment Terms

For Hiring Organizations

You are responsible for ensuring that your use of assessments complies with applicable employment laws and regulations. Assessment results should be used as one factor in hiring decisions, not as the sole determinant.

For Candidates

By participating in an assessment, you agree that your interactions within the assessment environment may be recorded, analyzed, and shared with the hiring organization. All work produced during an assessment is owned by the hiring organization.

6. Intellectual Property

The Service, including its design, features, and content, is owned by Gradient AI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

7. Payment Terms

Fees for the Service are as agreed in your subscription or order form. All fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with reasonable notice.

8. Limitation of Liability

To the maximum extent permitted by law, Gradient AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount paid by you to us in the twelve months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

We may terminate or suspend your access to the Service at any time, with or without cause. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service. Continued use after changes constitutes acceptance.
